{"id":22338,"date":"2025-09-12T22:45:43","date_gmt":"2025-09-13T02:45:43","guid":{"rendered":"https:\/\/web.uri.edu\/housing\/?page_id=22338"},"modified":"2026-04-24T09:02:16","modified_gmt":"2026-04-24T13:02:16","slug":"22338-2","status":"publish","type":"page","link":"https:\/\/web.uri.edu\/housing\/22338-2\/","title":{"rendered":"University of Rhode Island                    Designated Graduate Housing Agreement 2026-2027"},"content":{"rendered":"\n<p id=\"block-2cdfd575-a5df-4fdb-b534-863b21375b58\">This Designated<a> <\/a>Graduate Housing Agreement (the \u201c<strong>Agreement<\/strong>\u201d) is made and entered into as of the Start Date (identified herein) by and between the <strong>University of Rhode Island<\/strong>, a public institution of higher education established by the laws of the State of Rhode Island, for itself and on behalf of its governing board, the <strong>University of Rhode Island Board of Trustees<\/strong>, a public corporation created and established pursuant to Chapter 32, Title 16 of the General Laws of Rhode Island (together referred to as \u201c<strong>URI<\/strong>\u201d), and the <strong>Primary Occupant <\/strong>(identified herein).<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"block-913cfa36-8d82-483e-b27f-a9633e003893\">TERMS:<\/h3>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-dc329129-173a-4420-a251-43b204be6ec1\">1. <strong>Key Information.<\/strong><\/h2>\n\n\n\n<p id=\"block-c89cfe84-af18-4626-ad37-9a337de54e2f\">Capitalized terms used and not otherwise defined in this Agreement have the meanings set forth below.<\/p>\n\n\n\n<p id=\"block-2806537c-a552-45eb-b3eb-2c59c7defdea\">1.1. <strong>Primary Occupant: <\/strong>The Primary Occupant is the individual named below.<\/p>\n\n\n\n<ul id=\"block-f587af19-a3ca-4637-98e3-c7c711b15d54\" class=\"wp-block-list\">\n<li>Name:<\/li>\n\n\n\n<li>URI ID Number:<\/li>\n\n\n\n<li>Phone:<\/li>\n\n\n\n<li>Email:<\/li>\n\n\n\n<li>Home Address:<\/li>\n\n\n\n<li>Emergency Contact Name:<\/li>\n\n\n\n<li>Emergency Contact Phone:<\/li>\n\n\n\n<li>Emergency Contact Email:<\/li>\n<\/ul>\n\n\n\n<p id=\"block-010d75c2-25bb-49f9-9628-645597c0f67e\">1.2. <strong>Term of Occupancy: <\/strong>The period beginning on the Start Date and continuing until the End Date.<\/p>\n\n\n\n<ul id=\"block-c13f157a-c50e-4ab6-b2ed-a1dca2b8b8e9\" class=\"wp-block-list\">\n<li>Start Date:<\/li>\n\n\n\n<li>End Date:<\/li>\n<\/ul>\n\n\n\n<p id=\"block-c29c0124-fcbc-44b6-acf5-c418fc5410e0\">1.3. <strong>Unit: <\/strong>The following Unit has been assigned to the Primary Occupant:<\/p>\n\n\n\n<ul id=\"block-bcd300ee-5c62-4214-8e7d-647bf99e3f27\" class=\"wp-block-list\">\n<li>Unit #:<\/li>\n\n\n\n<li># Bedrooms:<\/li>\n\n\n\n<li>Maximum Occupancy:<\/li>\n<\/ul>\n\n\n\n<p id=\"block-7a4f8fa1-f245-4aae-bef2-b1e66fee22db\">1.4.&nbsp;&nbsp; <strong>Total Monthly Payment<\/strong>:<\/p>\n\n\n\n<p id=\"block-ee3c425a-ea35-49f1-a168-3d58bf85adb1\">1.5. <strong>Special Instructions \/ Exceptions: <\/strong>If applicable, any special instructions or exceptions to the standard Designated Graduate Housing Agreement should be noted below.<\/p>\n\n\n\n<p id=\"block-7ed60321-e9d8-411f-999e-f02896d64db9\"><\/p>\n\n\n\n<p id=\"block-e33f72a2-9b2c-4fb2-8339-0e3d14ee0dc8\"><\/p>\n\n\n\n<p id=\"block-c648f024-a9ea-44f9-9d94-b0254f891be2\"><\/p>\n\n\n\n<p id=\"block-12306a7d-9de5-4a40-a910-5f5741f1fcfa\"><\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-7dd12339-e2ae-4ce8-a9aa-72913e348621\">2. <strong>Eligibility Criteria.<\/strong><\/h2>\n\n\n\n<p id=\"block-3cc529d8-3386-4805-b9e8-0a7842be89eb\">To be eligible for Designated Graduate housing (\u201c<strong>Grad Housing<\/strong>\u201d) as a Primary Occupant, an individual must be: <\/p>\n\n\n\n<p id=\"block-3cc529d8-3386-4805-b9e8-0a7842be89eb\">(i) a matriculating graduate student of full-time status (as documented by an eCampus class schedule of at least 9 credits, or a class schedule of 6 credits with a copy of assistantship contract); or<\/p>\n\n\n\n<p>(ii) a URI graduate student enrolled for at least 1 Doctoral Dissertation credit (as documented by an eCampus class schedule); or<\/p>\n\n\n\n<p>(iii) a visiting scholar (as documented by a letter of affiliation from a URI Department); or<\/p>\n\n\n\n<p id=\"block-3cc529d8-3386-4805-b9e8-0a7842be89eb\">(iv) if approved by URI Housing and Residential Life (\u201c<strong>HRL<\/strong>\u201d), a matriculating non-traditional URI undergraduate student of full-time status (as documented by an eCampus class schedule of 12 credits) (collectively, the \u201c<strong>Grad Housing Criteria<\/strong>\u201d).&nbsp; <\/p>\n\n\n\n<p id=\"block-3cc529d8-3386-4805-b9e8-0a7842be89eb\">The Primary Occupant must satisfy at least one of these Grad Housing Criteria at all times during the Term of Occupancy and will be required to vacate the Unit within 30 days of losing eligibility.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-645ab0dc-7457-4ad4-862e-60ca91e163de\">3. <strong>Roommates.<\/strong><\/h2>\n\n\n\n<p id=\"block-cfdf06f1-26e0-4b60-b134-3784293967ad\">Subject to the terms of this Agreement, the Primary Occupant may elect to co-occupy the Unit with roommate(s) (each, a \u201c<strong>Roommate<\/strong>\u201d).&nbsp; Failure to comply with the requirements set forth below may result in immediate termination of this Agreement.<\/p>\n\n\n\n<p id=\"block-11a0a78c-46ee-4a08-9ffc-67bb9ae72828\">3.1. <strong>Eligibility.<\/strong> To be eligible for Designated Graduate Housing as a Roommate, an individual must:<\/p>\n\n\n\n<p id=\"block-11a0a78c-46ee-4a08-9ffc-67bb9ae72828\">(i) satisfy one of the Grad Housing Criteria; or<\/p>\n\n\n\n<p id=\"block-11a0a78c-46ee-4a08-9ffc-67bb9ae72828\">(ii) be a URI graduate student carrying a minimum of 6 credits per semester (as documented by an eCampus class schedule); or <\/p>\n\n\n\n<p id=\"block-11a0a78c-46ee-4a08-9ffc-67bb9ae72828\">(iii) be an immediate family member of the Primary Occupant (as evidenced by documentation reasonably satisfactory to HRL) <\/p>\n\n\n\n<p id=\"block-11a0a78c-46ee-4a08-9ffc-67bb9ae72828\">(collectively, the \u201c<strong>Grad Roommate Criteria<\/strong>\u201d).<\/p>\n\n\n\n<p id=\"block-11a0a78c-46ee-4a08-9ffc-67bb9ae72828\">A Roommate must satisfy these Grad Roommate Criteria at all times while occupying the Unit and will be required to vacate the Unit within 30 days of losing eligibility.&nbsp; &nbsp;<\/p>\n\n\n\n<p id=\"block-1aa7a7d4-3042-45c9-aba4-63b38b548c5f\">3.2. <strong>Registration. <\/strong>The Primary Occupant must register each Roommate with HRL before the Roommate occupies any portion of the Unit, and the Primary Occupant must notify HRL promptly upon termination of each such Roommate\u2019s occupancy.&nbsp; To register a Roommate, the Primary Occupant must provide all of the following to HRL: (i) documentation establishing that the Roommate satisfies the Grad Roommate Criteria; (ii) a completed and signed \u201c<strong>Roommate Registration Form<\/strong>\u201d in the form attached to this Agreement as Exhibit A.<\/p>\n\n\n\n<p id=\"block-62881cdd-72fb-44f1-b08a-500cbbce6c95\">3.3. <strong>Responsibility. <\/strong>The Primary Occupant remains solely responsible for ensuring compliance with the terms of this Agreement by Primary Occupant and all Roommates (collectively, \u201c<strong>Occupants<\/strong>\u201d) and for payment of all amounts owed under this Agreement.<\/p>\n\n\n\n<p id=\"block-65f05e14-c120-447d-ae77-98f6f18b0600\">3.4. <strong>Maximum Occupancy. <\/strong>The number of occupants in a Unit must not exceed the Maximum Occupancy set forth on the first page. An exception may be considered for minor children of the Primary Occupant, at the discretion of HRL.<\/p>\n\n\n\n<p id=\"block-4d39054b-f3a2-487f-aeba-61574c2f8448\">3.5. <strong>Payment. <\/strong>The total monthly payment to be paid to the Primary Occupant by each Roommate (the \u201c<strong>Roommate Payment<\/strong>\u201d) shall be determined by mutual agreement between the Primary Occupant and the Roommate.&nbsp; However, a Roommate Payment must not exceed 115% of the Roommate\u2019s proportionate share of the Primary Occupant\u2019s Total Monthly Payment (proportionate share being the Total Monthly Payment divided by the total number of Occupants in the Unit).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-1e38e8f2-b55c-4aa1-9747-32d540f92754\">4. <strong>Identification.<\/strong><\/h2>\n\n\n\n<p id=\"block-03802f43-3723-4840-b0b6-a7d809d1c4c4\">Proof of identification is required for Primary Occupant and Roommates. Proper identification includes state or federal government issued documentation (passport, state ID, birth certificate, etc.) OR URI ID.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-042b2210-f36e-49ca-8c9d-6bdf6b0662bc\">5.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Term of Occupancy, Termination, and Renewal.<\/h2>\n\n\n\n<p id=\"block-01a9bc75-fc86-4f8f-adea-ab588276fad4\">5.1 <strong>Start Date. <\/strong>Occupancy of the Apartment is to begin on the Start Date of this Agreement. HRL reserves the right to modify or rescind the Start Date, if needed.<\/p>\n\n\n\n<p id=\"block-09bac8e5-b110-49d3-9664-47d7b5142a7b\">5.2. <strong>Continuous Occupancy; No Subletting. <\/strong>The Primary Occupant must personally maintain custody of the Unit at all times during the Term of Occupancy. Any subletting arrangement is prohibited and may result in the immediate termination of this Agreement. Subletting is defined as a relinquishment of custody of the Unit to another individual, including a Roommate.<\/p>\n\n\n\n<p id=\"block-84b1fbd9-113d-4894-8799-41ea91c21e4a\">5.3. <strong>End Date. <\/strong>At least 30 days prior to the End Date of this Agreement, Primary Occupant must notify HRL whether Primary Occupant wishes to renew the Agreement or vacate the Unit.&nbsp; If the Unit is being vacated, the Primary Occupant must schedule a move-out date and move-out inspection with HRL no less than 30 days in advance, in accordance with Section 5.7 below, and the scheduled move-out date and inspection must be no later than the End Date.<\/p>\n\n\n\n<p id=\"block-4440f166-1fa0-4d47-8bfa-4f05b3d56b49\">5.4. <strong>Renewal or Extension. <\/strong>To be eligible for a renewal or extension of this Agreement upon its expiration, the Primary Occupant must provide documentation establishing that they will continue to satisfy the Grad Housing Criteria throughout the duration of the renewal or extension term, and the Primary Occupant\u2019s account must be current and in good standing with no outstanding balance.&nbsp; HRL may require an inspection of the Unit prior to approval of renewal. &nbsp;HRL reserves the right not to renew or extend this Agreement for any reason (including, but not limited to, competing occupancy needs, conduct issues, delinquent payment history, account balance write offs, etc.).&nbsp; With exceptions, the Primary Occupant generally will not be allowed to renew the Agreement if doing so would result in the Primary Occupant occupying the Unit for more than three years in the aggregate. A renewal or extension will not be effective until the Primary Occupant and URI sign a new Designated Graduate Housing Agreement.&nbsp; The Primary Occupant understands that the Total Monthly Payment is subject to change upon each renewal.<\/p>\n\n\n\n<p id=\"block-6b405863-a79b-4fbf-b824-08a6c5246257\"><strong>5.5.&nbsp;&nbsp; Early Termination.<\/strong><\/p>\n\n\n\n<p id=\"block-e509d1d8-6ebf-4735-91cb-3cbc015e2b28\">5.5.1. <strong>By URI. <\/strong>In addition to any other rights and remedies available to URI, URI may terminate this Agreement and require all Occupants to vacate the Unit with 30 days\u2019 written notice in the event of any violation of this Agreement or applicable URI policies by any Occupant, unless such violation is remedied to URI\u2019s satisfaction within such 30-day period.<\/p>\n\n\n\n<p id=\"block-9feec08e-d163-4728-adc0-0d71206cc5df\">5.5.2. <strong>By Primary Occupant. <\/strong>If the Primary Occupant wishes to terminate this Agreement or otherwise vacate the Unit before the End Date, the Primary Occupant must notify HRL in writing and must schedule a move-out date and move-out inspection no less than 30 days in advance.<\/p>\n\n\n\n<p id=\"block-7ab6e128-6b43-4646-a7fa-bb9b01bbd8af\">5.5.3. <strong>Loss of Eligibility. <\/strong>If the Primary Occupant will be unable to satisfy the Grad Housing Criteria at any time during the Term of Occupancy, the Primary Occupant must notify HRL in writing as early as possible and must schedule a move-out date and move-out inspection no later than 30 days prior to losing eligibility.<\/p>\n\n\n\n<p id=\"block-20e07dd6-b560-4625-8412-405a710e03e7\">5.6. <strong>Move-Out Condition. <\/strong>The Primary Occupant must ensure that all Occupants have vacated the Unit by the scheduled move-out date.&nbsp; The Unit must be left in the same or better condition than it was in at the Start Date, and it must be cleaned according to the cleaning standards provided by HRL.&nbsp; All issued physical keys must be returned upon vacating the Unit.<\/p>\n\n\n\n<p id=\"block-8b6f9186-f19c-41d8-9cf3-9ac70d8117c7\">5.7. <strong>Move-Out Inspection. <\/strong>The Primary Occupant must contact HRL at least 30 days in advance of the End Date to schedule a move-out date and move-out inspection.&nbsp; The purpose of this inspection is for HRL to identify any damages beyond normal \u201cwear and tear\u201d and to review the cleanliness of the Unit. If damages to the Unit are revealed, the Primary Occupant will be informed of the charges necessary to repair the damages incurred<em>. <\/em>Any such damages will be billed to the Primary Occupant.&nbsp; At this move-out inspection, the Primary Occupant must provide their forwarding address and email on a form completed with HRL staff. Completing this form will expedite the return of any financial credit that may be due.<\/p>\n\n\n\n<p id=\"block-4bb65851-0b3e-4c63-b7d6-fbcfbba41837\">5.8. <strong><strong>Reassignments and Transfers<\/strong>. <\/strong>This Agreement is non-transferrable and may not be assigned. Primary Occupants are prohibited from occupying more than one Unit or moving to another Unit as a Primary Occupant during the Term of Occupancy. &nbsp;Upon request, exceptions may be available with the written approval of HRL, which HRL may grant or deny in its sole discretion. HRL reserves the right to reassign the Primary Occupant to a different Unit with due notice, where extenuating circumstances are present.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-28c83c1f-9b47-433c-98f4-a03f9532c233\">6.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Payment.<\/h2>\n\n\n\n<p id=\"block-59999a8a-f19c-47ef-9a77-72dc0223d13d\">6.1. <strong>Monthly Payment. <\/strong>Invoices for the Total Monthly Payment are dated on the 1st of the month and are due upon receipt. The first month\u2019s Total Monthly Payment will be prorated based on the Start Date and issued at the next forthcoming billing cycle.&nbsp; The Primary Occupant is solely responsible for paying the Total Monthly Payment when due, regardless of whether the Primary Occupant has received payment of any amounts owed by Roommate(s).<\/p>\n\n\n\n<p id=\"block-449e5efa-6988-4111-bb23-1037c5125ad7\">6.2. <strong>Delinquencies. <\/strong>The Primary Occupant will be deemed delinquent if any portion of the outstanding balance has not been received by HRL by the last day of each month. In such event, HRL will send a delinquency notice to the Primary Occupant.&nbsp; Delinquency notices will be sent each successive month.&nbsp; After 3 months of cumulative delinquencies, the Primary Occupant will be given notice of intended sanction through URI Enrollment Services.&nbsp; If the Primary Occupant has not made payment of all amounts due within 30 days of HRL\u2019s intended sanction notice, HRL may immediately terminate this Agreement and require all Occupants to vacate the Unit.&nbsp; Payment plan exceptions may be available and are approved solely by the AVP HRL and Student Development.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-33f269af-5e1e-40ad-99b7-7a92a71eff47\">7. <strong>Utilities.<\/strong><\/h2>\n\n\n\n<p id=\"block-3d4be93c-7e35-441e-98d0-7f5ac97c2df8\">The Total Monthly Payment includes electricity, heat, hot water, and URI WIFI internet.&nbsp; Water service and trash removal is provided at no additional expense.&nbsp; The Unit does not include television or phone services.&nbsp; Occupants who wish to have television services can purchase a streaming service or an indoor HD antenna, and Occupants who wish to have phone service should have their own cell phone service provider.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-ec5df1a3-4565-405d-9950-64780389b0e8\">8. <strong>Access.<\/strong><\/h2>\n\n\n\n<p id=\"block-49678d25-de4d-4dd2-a2ae-15f3e701616a\">Primary Occupant will receive access to the Unit on the Start Date, either by physical key or electronic access, based on installed lock type. To obtain access for Roommates, all parties must complete the Roommate Registration Form before access is issued. In cases where a student is issued a physical key for their space, a lost physical key requires the lock on the Unit to be changed, and the Primary Occupant will be billed $100 for each lock change. &nbsp;Excessive lock outs may result in non-renewal of the Agreement.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-71184974-cafb-4b4d-afc8-efa522e6dafa\">9.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; Maintenance and Furnishings.<\/h2>\n\n\n\n<p id=\"block-db8531dc-577a-4f74-953b-71873b2ca2eb\">9.1. <strong>Personal Property. <\/strong>Each Occupant is responsible and liable for, and shall hold URI harmless from, any and all injury and damage to persons or property caused, directly or indirectly, by the Occupant\u2019s negligent or intentional acts or omissions (including injury or damage caused by the Occupant\u2019s defective property). Each Occupant is responsible and liable for insuring the Occupant\u2019s own personal property, including for losses or damages due to fire, smoke, water, and theft. URI is not responsible or liable for any loss or damage to the Occupant\u2019s personal property unless caused by URI\u2019s gross negligence, and URI does not provide any property or liability insurance coverage for the Occupant\u2019s benefit. Occupants should consider purchasing renters insurance for college students to assist the Occupant in paying for the repair or replacement of belongings if they are lost or damaged. Additionally, URI is not responsible for personal property remaining in the Unit or on any URI property following the End Date of the Agreement or the Occupant\u2019s scheduled move-out date, if earlier.&nbsp; Such property will be considered abandoned and will be disposed of by URI personnel consistent with established policies.<\/p>\n\n\n\n<p id=\"block-cd676094-d4a0-4791-a5e1-4109183b2e67\">9.2. <strong>Appliances and Decor. <\/strong>Units come equipped with a stove\/oven, a refrigerator, a fire extinguisher, and standard issue window shades. Except by approved HRL exception, bedrooms include single beds, dressers, wardrobes\/closets, desks and chairs in quantities corresponding to the Unit\u2019s Maximum Occupancy. Common areas are equipped with standard living room furniture. All appliances and university-supplied furniture must be kept in the Unit to which they are allocated. Occupants must keep appliances clean and grease-free to minimize the risk of fire.&nbsp; Installation of permanent carpeting or other fixtures is NOT allowed (non-affixed, removable carpeting is permitted). Fire regulations prohibit the use of carpet tape, glue, or tack board. Curtains and carpeting must be fire retardant and meet all state fire codes. Tapestries of any kind are prohibited.<\/p>\n\n\n\n<p id=\"block-02f70d49-b7da-46e2-91ed-5f0d95f1a553\">9.3. <strong>Storage. <\/strong>Personal property is not to be left in hallways, common areas, or outside of the Primary Occupant\u2019s designated Unit.&nbsp; Any personal property that is left in an improper location may be removed and disposed of in HRL\u2019s discretion, and the cost of removing and disposing of such property may be charged to the appropriate Primary Occupant.<\/p>\n\n\n\n<p>9.4. <strong>42 Upper College. <\/strong>For residents housed within the property at 42 Upper College Road, please note the following items, specific to this property as a stand-alone property that is not part of an apartment community: (i) Parking is not available or permitted at any time by residents or guests on the property itself, including the driveway. Residents of this property may seek a parking permit from URI Transportation and Parking Services in accordance with their policies and procedures. (ii) Residents are not permitted access to this property\u2019s garage, basement, or attic areas. (iii) The fireplace in this property is not to be used at any time.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-2059f8c6-4a89-4440-97db-f1a75c63cc72\">10.&nbsp; Expectations and Safety.<\/h2>\n\n\n\n<p id=\"block-b0b2503e-1972-473d-9a4d-986ef37a489d\">10.1. <strong>Expectations. <\/strong>The Primary Occupant, each Roommate, and all of their respective guests are required to abide by (i) all applicable federal, Rhode Island state, and local laws and regulations, and (ii) all policies and procedures of URI, including those outlined in the HRL Community Policies Addendum, the URI Student Handbook, and those policies and procedures distributed to Occupants and\/or posted on the HRL or URI websites.<\/p>\n\n\n\n<p id=\"block-5c4fc2fc-5515-47c5-9904-e217666fb1ea\">10.2. <strong>Removal or Reassignment. <\/strong>A violation of any applicable law, regulation, policy, or procedure constitutes a violation of this Agreement and entitles URI to exercise its rights under Section 5.5.1 (Early Termination by URI).&nbsp; In addition, upon notification, HRL reserves the right to refuse, remove, trespass, or relocate from Designated Graduate Housing those Occupants who have violated an applicable law, regulation, policy, or procedure or who have been convicted of a misdemeanor, felony, or other crime. Further, HRL reserves the right to immediately relocate or remove Occupants for behaviors which affect the safety, security, or the well-being of the residential community, as determined by the Director of HRL or its designee.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"block-becba7e0-a423-495e-b985-0434d7c0f2d0\">11.&nbsp; Miscellaneous.<\/h2>\n\n\n\n<p id=\"block-6481ad18-e161-4a07-89d9-30eea5a6182d\">11.1. <strong>Severability. <\/strong>If any term, covenant, or condition of this Agreement proves to be invalid, void, or illegal, it will in no way affect, impair, or invalidate any other term, covenant, or condition hereof and the remaining terms, covenants, and conditions hereof will remain in full force and effect.<\/p>\n\n\n\n<p id=\"block-fe78c577-30df-45a3-987d-2451f91cbb6f\">11.2. <strong>Waiver. <\/strong>No waiver by either party of any breach by the other party hereunder will be effective unless in writing, nor will any such waiver constitute a waiver of any subsequent breach or of any other obligation, agreement, or covenant.<\/p>\n\n\n\n<p id=\"block-a0a41f93-6684-4fa9-b741-7bd73b19ab93\">11.3. <strong>Entire Agreement, Binding Effect, and Modification. <\/strong>This Agreement contains the entire agreement of the parties regarding the subject matter hereof and is not subject to any other agreement, promise, statement, or representation not expressly contained or incorporated herein.
